Technology escrow protects your licensing relationships
Reduce risk when licensing technology
If a vendor on which your business relies went out of business or stopped supporting your licensed software for other reasons, your company would likely suffer considerable losses in revenue and productivity.
Establishing an Iron Mountain technology escrow account with pre-defined release conditions gives you the assurance that you will have access to the source code and other proprietary information needed to maintain that technology, should you need it. It’s a safety net. In a worst-case scenario, you could support the technology in-house or hire a consultant.
You have control. If you decided to replace that technology, you would have the time to research options and negotiate favorable license terms with a new vendor.
You have leverage. The threat of a release of escrow materials often persuades technology vendors who have neglected a product to continue to service your maintenance and support contract.
The right level of protection
Iron Mountain offers a variety of escrow relationships to meet your unique requirements. Our three-party relationship – signed by Iron Mountain, the technology vendor and the licensee – can be tailored to meet your needs and provide the highest level of escrow protection. As part of every escrow arrangement, customers also have access to Iron Mountain's online account management tool to manage all of their escrow needs.
Technical verification
If a technology licensee wants even greater assurance that what is actually deposited by the technology vendor is complete, and will be usable in the event a release, Iron Mountain offers three levels of technical verification. Technical verification tests the validity of your escrow deposits. The recommended level of verification depends on the risks associated with the licensed technology. Iron Mountain’s in-house staff of verification experts can perform tests that cover the basics of reporting the technical environments necessary to compile the source code to more complete tests that determine the functionality of the compiled code.
